Starting a business in Lithuania is known for being remarkably streamlined and digital-friendly. The process generally follows a specific 5-step roadmap: 

The most common legal entity in Lithuania is the UAB (Private Limited Liability Company). It offers limited liability, meaning your personal assets are protected. 

Before registering, you must check the availability of your name via the State Enterprise Centre of Registers. 

The name must be unique and comply with Lithuanian language standards (though exemptions apply for international trademarks). 

If you are forming a UAB, you must open a temporary bank account to deposit your share capital. 

  • The Deposit: You must deposit at least €1,000. 

  • Fintech Options: Lithuania is a global fintech hub; you can often use licensed Electronic Money Institutions (EMIs) like Revolut Business or others if they are registered to accept share capital deposits. 

You will need the Articles of Association and an Act/Agreement of Incorporation. 

  • Physical Registration: You visit a notary who verifies the documents and submits them to the Register of Legal Entities. 

  • Online Registration: If you have a Lithuanian e-signature or a Mobile-ID, you can skip the notary and register entirely online via the Registrų Centras self-service portal.  

Once the company is officially registered (usually takes 3–5 business days), you must: 

  • Register for VAT: Mandatory if your annual turnover exceeds €45,000. 

  • Sodra (Social Security): You must register as an employer before hiring your first staff member. 

  • VMI (Tax Inspectorate): You will be automatically assigned a tax ID, but you may need to submit additional forms regarding your accounting period.

Key Requirements for Foreigners 

  • Registered Address: You must have a physical address in Lithuania.  

  • E-Residency: Lithuania offers an e-Residency card that allows non-EU citizens to sign documents and manage their business online, though some banking steps may still require a physical visit or Power of Attorney.
